Rules of the call for applications "Agricultures in transition"

 Preamble

The Village by CA Nord de la France is organising a call for applications for innovative start-ups in order to encourage and support the transition in agricultural sectors.

Existing start-ups less than 5 years old are allowed to apply from any European country. Their activity must demonstrate a demonstrable level of innovation with at least one validated POC on which the project leader can communicate. They must be able to demonstrate the proven or potential positive impact of their solution on the Hauts de France territory.

Start-ups that respond to one or more of the following 4 challenges are invited to apply:

  • INTERCONNECTION: You put the various players in the sector in touch with each other to ensure the success of innovative and sustainable projects.
  • DECISION-MAKING AND STEERING ASSISTANCE: You develop decision-making and management assistance tools based on data valuation.   
  • COMMUNICATION: You participate in informing, enhancing or creating a link between the producer and the end consumer, based on notions of transparency and traceability
  • EXPERIMENTATIONS AND TECHNIQUES: You rely on experiments or techniques to develop an agro-ecological approach to agricultural systems or improve their energy footprint.

The call for applications is organised in 3 phases: the application phase, the preparation of the final selection (recommendation phase) and the final selection. The final selection will take place during a face-to-face meeting where project leaders will present their project to the final selection panel.

The project leaders selected by the final selection jury will be able to join the Village by CA Nord de France ecosystem in the following ways:

(i) Personalised support programme offered by Village by CA Nord de France (up to 24 months) at a distance or in person, at the choice of the project leader.

(ii) Possibility of accommodation for the start-up within the Village by CA Nord de France (up to 24 months)

 

ARTICLE 1 - DEFINITIONS

The selection panel is made up of employees of the authorised Partners of Village by CA Nord de France and appointed by the Organiser.

Deliverables refer to the content of the participants mentioned in article 9, which must be submitted to Village by CA Nord de France in accordance with the regulatory schedules mentioned in article 7-8.

Organiser or Village by CA Nord de France designates CREDIT AGRICOLE NORD DE FRANCE and its organisational unit VILLAGE BY CA NORD DE FRANCE, a bank with its registered office at 10, Avenue FOCH - BP 369 - 59020 LILLE CEDEX, registered in the Lille Métropole Trade and Companies Register under number 440 676 559, which has defined the use case of the Call for Applications.

Participant(s) refers to the enterprises participating in the call for applications.

Service Provider or Agorize refers to AGORIZE, a simplified joint stock company with a capital of 71,146 euros, registered with the Paris Trade and Companies Register under number 530 774 439, whose head office is located at 34 rue du Faubourg Saint Antoine, 75012 PARIS, which provides the platform for the registration and the first phase of the call for applications.

The call for applications refers to the call for applications "AGRICULTURES EN TRANSITION".

Rules: this document.

Rules means the terms and conditions of the Call for Applications set out in this document.

Partner means a company, university or institution linked to Village by CA Nord de France by a partnership agreement and whose logo appears on Village by CA Nord de France communications.

Selection date means the day of the final selection, i.e. 9 March 2021.

 

ARTICLE 2 - PURPOSE OF THE RULES

The purpose of these rules is to define the conditions and rules for participation in the call for applications.

The present rules follow the general rules and conditions of use of the platform available at https://lille-levillagebyca.agorize.com/fr/terms.

In the event of any contradiction between the provisions of the Rules and those of the General Terms and Conditions of Use, these Rules shall prevail.

The call for applications does not depend in any way, even partially, on chance or luck, and therefore cannot be considered as or compared to a lottery.

 

ARTICLE 3 - DESCRIPTION OF THE CALL FOR APPLICATIONS

The call for applications gives participants the opportunity to post their application to join the Village by CA Nord de France. Through their solution(s), participants must respond to the following call for applications: AGRICULTURE IN TRANSITION.

Where participants take part in the Call for Applications, they undertake to submit deliverables which must respond to the Call for Applications in question and comply with the rules and modalities of the Call for Applications, set out at: https://lille-levillagebyca.agorize.com/fr/challenges/agricultures-en-transition.

ARTICLE 4 - CONDITIONS FOR PARTICIPATION IN THE CALL FOR APPLICATIONS

Participation in the Challenge is entirely free of charge, with no obligation to purchase.

Each participant is required to be fully familiar with the rules. Registration to the platform and participation in the call for applications implies full acceptance of the rules.

Participation in the call for applications is limited to companies:

- registered in the commercial register of the country in which their registered office has been established for less than 5 years, and

- with a valid professional insurance policy,

Participants may take part in the call for applications only once.

The participant must register online and create a user account for his/her company.

Any Participant who does not fulfil the conditions of this article at the time of his/her registration or at any time during the duration of the Call for Applications will be disqualified by operation of law and without prior notice of the Call for Applications and will not be the beneficiary of any prize as defined in article 11 (hereinafter the "Prize"). In the event that a Prize is awarded to a Participant who does not meet the conditions for participation at the time of registration or at any time during the duration of the Call for Entries, the Organiser, the Partners and the Service Provider reserve the right to require the Participant to return the Prize received.

 

ARTICLE 5 - REGISTRATION AND ACCESS TO THE CALL FOR APPLICATIONS

To register for the call for applications, the participant must open a user account on the website.

- A valid e-mail address ;

- An available username ;

- A password.

In order to confirm their registration, participants must also accept the rules and general conditions of the call for applications, which are available on the following website

A confirmation email is sent to the participant using the email address entered, containing an activation link.

Once the account has been activated, the participant must provide the following information:

- Surname and first name of the project leader

- Email address

- Company name

- Phone number

Optional :

- Company website

Further information can be added to the participant's profile, depending on the account configuration.

Once this account has been activated, the participant can register for the call for applications by creating a team to represent the company.

Entries containing inaccurate or incomplete information will not be considered and the entrant in question will be disqualified.

Registration implies that the Participant agrees to be contacted by e-mail sent by the Organiser or the Partners regarding participation in the Call for Applications.

The call for applications is available 24 hours a day and 7 days a week on the dedicated website published by the Service Provider at www.agorize.com, subject to any maintenance operations on the Service Provider's servers or malfunctions as described in Article 15.

 

ARTICLE 6 - DURATION OF THE CALL FOR APPLICATIONS

Participation in the call for applications is open from 00:01 on 15 December 2021 to 23:59 on 9 February 2021. For pre-selected participants, the call for applications remains open until 9 March 2021 at 18:00.

Any date stipulated in the rules and in the call for applications is in principle given using the Paris/Brussels time zone (GMT +1).

No extension or exception to this period will be granted to a participant for any reason whatsoever.

The Organiser reserves the right to modify, at its sole discretion, the duration of the Call for Applications, if operational requirements so require, for a reasonable period of time to be communicated to Participants.

 

ARTICLE 7 - SELECTION CHARTER

The call for applications is divided into three (3) phases:

- An application phase detailed in Article 8 ;

- A recommendation phase detailed in Article 9 ;

- A final selection organised at the end of the recommendation phase.

After each phase, the Organiser and Partners will check the compliance of the deliverables with the requirements of the rules and select the participants authorised to participate in the next phase.

Each of these selections is based on objective criteria of relevance, realism and coherence with the theme of the call for applications and its objectives.

After the application phase, a pre-selection jury made up of Village by CA Nord de France employees and Partners will review the results of the application and select the most innovative start-ups responding to the call for applications (pre-selected participants).

The criteria are mainly based on the participant's capacity to respond to the need of the call for applications, which means that it will provide a solution aimed at accelerating innovation in agricultural sectors, in favour of more sustainable models that respect people and the environment. Experience and scientific/economic references in these fields will also be taken into account.

The Organiser will inform all participants of the list of shortlisted candidates by e-mail (sent to the address provided when creating the user account on https://lille-levillagebyca.agorize.com/fr/challenges/agricultures-en-transition.

After the recommendation phase, a final selection panel composed of Village by CA Nord de France and Partners employees will review the deliverables of the shortlisted participants and select the innovative start-ups with the best potential to respond to the call for applications.

The criteria are mainly based on the participant's capacity to respond to the need of the call for applications, which means that it will provide a solution aimed at accelerating innovation in agricultural sectors, in favour of more sustainable models that respect people and the environment. Experience and scientific/economic references in these fields will also be taken into account.

This final selection will also be based on an oral presentation of the pre-selected participants which will take place during the selection committee meeting on 9 March 2021.

A first presentation will be made before the final selection jury. This presentation should last 7 minutes and will be followed by a sequence of questions and answers between the participant and the members of the final selection jury.

The final selection jury will decide on the prizes to be awarded at a decision session to be held immediately after the last oral presentation by the last preselected participant.

Selected candidates who are awarded a prize will be notified on 10 March 2021.

Unsuccessful candidates will be informed of the selection panel's decision within 48 hours by an e-mail sent to the address provided when creating a user account on the https://lille-levillagebyca.agorize.com/fr/challenges/agricultures-en-transition website.

In each of the phases, the Organiser reserves the right to determine the number of candidates to be selected on the basis of the objective criteria defined above.

The decision of the final selection panel is final. No appeal whatsoever will be allowed by the candidates.

 

ARTICLE 8 - DETAILS OF THE APPLICATION PHASE

The application phase will run from 00:01 on 15 December 2021 to 23:59 on 9 February 2021 (hereafter "the application").

Participants must upload their deliverables to the platform before the deadline and no later than 23:59 on 9 February 2021. It must contain :

- The application form

- A .pdf presentation with a maximum of 10 slides

A number of projects, many of which are not known at this stage, will be pre-selected on the basis of this application in accordance with Article 7.

The Organiser of the Call for Applications will only accept and consider deliverables submitted by participants within the deadline and in accordance with the requirements of the Rules.

 

ARTICLE 9 - DETAILS OF THE RECOMMENDATION PHASE

Participants in the recommendation phase must upload their deliverables on the platform by March 5, 2021 at 23:59 at the latest. It must contain :

- The material they will present to the final jury: maximum of 10 slides . PDF

- CVs of the founders of the start-up

 

 

ARTICLE 10 - CHARACTERISTICS OF THE DELIVERABLES

Deliverables must comply with the rules and specifications established by the Organiser and described on the Call for Applications page on the website.

If the Deliverable is difficult or impossible to read, at the request of the Organiser, the Participants of the company concerned are obliged to rectify the situation before the deadline for uploading the Deliverable for the relevant phase, and no later than three days after that date, after which the Organiser reserves the right to disqualify the Participant in question from the Call for Applications.

The participants guarantee that the deliverables include only the contributions of the participants.

Contributions from third parties are not eligible and any participant producing them will be disqualified.

 

ARTICLE 11 - PRICES

The selected participants will receive the following prizes

The project leaders selected by the final selection jury will benefit from being integrated into the Village by CA ecosystem in the following ways:

  • Personalised support programme described online at https://lille.levillagebyca.com/programme-accompagnement-startup/ and offered by Village by CA Nord de France (up to 24 months) either remotely from the place of residence or in person at the Village by CA Nord de France in Lille, at the choice of the project leader.
  • This support programme will be invoiced at the rate of €200 excl. VAT per month on the basis of the signature of a service provision agreement.

 

(ii) Possibility of accommodation for the start-up within Village by CA Nord de France (up to 24 months) at the following rates:

  • In open space: at the rate of €100 excl. tax per month, including charges per workstation, based on the signature of a service provision agreement.
  • In a closed office: from €570 excl. charges, based on the signature of a service provision agreemen       

 

ARTICLE 12 - CONFIDENTIALITY

Only non-confidential information that characterises and describes the applicant's project is required (publications, patent applications, posters, etc.).

This information will be strictly used for the purposes of the selection phases of the call for applications in the inner circle of the final selection jury composed of Village by CA Nord de France and its Partners.

The Service Provider will have access to this information for logistical purposes and undertakes not to disclose it, except for the use of the Call for Applications.

Any information belonging to the Organiser and the Partners, the Service Provider or a third party (hereinafter "Disclosing Party") that is disclosed or made available to Participants constitutes confidential information (hereinafter "Confidential Information"), whether or not it was identified as such at the time of disclosure. Information considered to be Confidential Information includes administrative, commercial, scientific, technical, financial, fiscal, legal and economic information that has been, is or will be disclosed to the Participant by the Service Provider or the Organiser and the Partners.

Confidential information may be material or immaterial and may be disclosed directly or indirectly, including, but not limited to, orally or in writing, in any medium, by supply of paper or electronic documents or by other means, including all copies, extracts and summaries.

The following information is not confidential:

* information that is currently in the public domain or that reaches it without violation of the rules on the part of the Participant ;

* information legitimately in the participant's possession prior to its disclosure by the Service Provider or Organiser and Partners ;

* information not resulting directly or indirectly from the use made of all or part of the confidential information;

* information legitimately obtained from a third party authorised to disclose it. The exceptions provided for in this section do not apply to personal data within the meaning of French law no. 78-17 of 6 January 1978 (relating to data protection).

The Organiser undertakes, for the entire duration of the Call for Applications and for five years after the end of the Call for Applications as described in article 5 :

* not to use confidential information for purposes other than participating in the call for applications in accordance with the rules;

* to take all necessary, useful and reasonable precautions to protect confidential information;

* to disclose confidential information only to members of the participant's team.

The Participant undertakes to promptly inform the Organiser in writing of the existence of any unauthorised use, disclosure or loss of the Confidential Information of the Disclosing Party of which the Participant is aware. The notification will indicate the measures taken by the Participant to remedy the situation.

Participants may disclose confidential information, in whole or in part, to any government or legal authority where required by law and to the extent permitted by law. They must give written notice in advance of their intention to disclose such information at least two working days before the intended date of such disclosure.

 

ARTICLE 13 - INTELLECTUAL PROPERTY

Participants expressly undertake not to misuse any legally recognised rights they may hold and such misuse will enable the Organiser to disqualify the participant concerned. Participants undertake to act in such a way as to also meet the requirements of the Organiser.

Participants guarantee undisturbed use of the documents, submissions and deliverables and the rights granted to them against any interference, claims of possession or any other dispute for the duration of the call for applications and for as long as the intellectual property rights are in force.

In this respect, participants warrant to the Organiser that none of the documents, submissions and deliverables, tools and other creations provided or used by participants in the Call for Applications constitutes an infringement of any element, work or creation belonging to a third party, or is the result of unfair competition, passing off or any other infringement of the rights of third parties. Participants release the Organiser from any action by third parties for any reason whatsoever, including with regard to the use of their image or any creation or any other protected element.

As part of this commitment, Participants must pay any compensation or other sums in the place of the Organiser (i) when the Organiser is ordered to pay compensation by a court decision, or (ii) when the Organiser has reached an agreement with a third party on a dispute. This obligation shall remain in force after the end of the Call for Applications for the duration of the rights granted to the Organiser hereunder.

Deliverables and videos must have been produced by the participants. All Participants shall be responsible for their compliance with French and European Union legislation, including copyright and legislation on the protection of privacy and image (French law of 17 July 1970) or any new legislation that may replace these provisions.

All participants in the call for tenders undertake to obtain all necessary authorisations from persons who have participated in any way in the production of the Deliverables and who may hold any rights whatsoever in the Deliverables.

The Organiser, the Partners and the Service Provider cannot be held liable for any breach of the above provisions by participants.

ARTICLE 14 - COMMUNICATION

The Participants authorise the Organiser and the Partners to reproduce their brand name free of charge on communication media relating to the Call for Applications, including, but not limited to, on the intranet and external websites of the Organiser and Partners, signatures on emails/newsletters, press releases, posters/banners at trade fairs, on Facebook and on Twitter.

Participants also authorise the Organiser and Partners to display their registered and trade names in the same way, as well as their logo as it appears in their applications.

This authorisation is strictly limited to the same purposes as those stipulated in Article 10 and the Organiser and the Partners undertake to cease using the brands once the circumstances relating to these purposes have come to an end, unless the Participant expressly agrees otherwise in writing beforehand.

This authorisation shall enter into force from the starting date of the Call for Applications, i.e. 15 December 2020 for the duration mentioned in Article 6 and the requirements foreseen for the above-mentioned purposes.

 

ARTICLE 15 - REIMBURSEMENT OF PARTICIPATION FEES

All possible costs related to the participation in the final selection session are to be borne by the preselected participant.

 

ARTICLE 16 - LIABILITY

It is understood that the Organiser and the Partner(s) cannot under any circumstances be held liable for any indirect damage whatsoever. With regard to proven direct damage, the liability of the Organiser is limited to 5,000 euros.

The liability of the Participants and the Service Provider hereunder shall be limited to the loss and damage caused directly by a breach of this Agreement by the Party concerned. Nothing contained herein shall be construed or considered as a limitation or exclusion of the Participant's liability:

- in case of gross negligence or deception, or

- where the participant's wrongdoing causes death or bodily injury, or

- resulting from claims against which the Participant holds the Organiser and its Partners harmless in accordance herewith or under applicable law.

Neither the Service Provider nor the Organiser and Partners can be held liable in the event of a breakdown or malfunction of the telecommunications network used, including when this has the effect of preventing the Participant from connecting or accessing the website https://lille-levillagebyca.agorize.com/fr/challenges/agricultures-en-transition.

Participation in the Call for Applications implies knowledge and acceptance of the characteristics, limitations and risks of the Internet and related technologies, in particular with regard to the performance, response times and security of software and hardware against various potential attacks in the form of viruses, logic bombs and Trojan horses, as well as the loss or misuse of data. Consequently, neither the Service Provider nor the Organiser and Partners can under no circumstances be held liable for any loss or damage caused to the Participant as a result of these characteristics, limitations and risks which the Participant has accepted.

Under no circumstances shall the Organiser and Partners be liable for any loss or damage caused by the failure or delay of the Deliverables to reach their destination, including the rejection of Deliverables due to late submission after the deadline set out in the Rules, by the failure or delay of any email sent in connection with the Call to reach its destination, or by any modification of the Deliverables beyond the control of the Service Provider and the Organiser and Partners.

Neither the Service Provider nor the Organiser and the Partners can be held liable in the event of modification, suspension, interruption, postponement or cancellation of all or part of the call for applications for reasons beyond their control. In such circumstances, the Organiser will inform the Participants within a maximum period of 72 hours by means of a notice on the website www.agorize.com.

Neither the Service Provider nor the Organiser and Partners can be held liable for the consequences of disqualification of a participant for a breach of the rules.

Neither the Service Provider nor the Organiser and the Partners shall be liable for any interference, proceedings, complaints, disputes or claims relating to the use of the Deliverables by the Service Provider or the Organiser and the Partners or relating to the negotiation, conclusion or performance of any contracts that the Organiser or the Partners may enter into with the Participants.

Under no circumstances can the Service Provider or the Organiser and Partners be held responsible for the time taken to make the prizes available or in the event that a winner cannot receive a prize for reasons beyond the control of the Organiser and Partners. The Organiser and Partners and the Service Provider cannot be held liable in the event of loss and/or damage caused to the Prize by transport services that are not the direct responsibility of the Organiser and Partners, nor more generally if a winner does not receive a Prize. The Organiser and Partners and the Service Provider may not be held liable in the event of incidents or personal injury or damage of any kind whatsoever that may occur as a result of the enjoyment of the Prize awarded and/or the use made of it.

 

ARTICLE 17 - DATA PROTECTION

The personal data collected in the context of this Call for Applications by the Organising Company in its capacity as data controller and recipient of such data, are necessary to enable the organisation of this Call for Applications and to contact the Candidates again for the awarding of the prizes.   

 

The Organiser, the Partners and the Service Provider are the recipients of this data.

They will not be passed on to third parties.

 

 

The purposes of this treatment are as follows:

* organise the intermediation between the participant and the Organiser and Partners ;

* identify, exploit and store communications with the participant ;

 

The legal basis for this processing is based on the legitimate interest of the Organising Company in organising Calls for Applications.  

 

The data collected will be kept and processed for the time necessary to achieve the purpose, and for a maximum of 6 months from the end of the selection, i.e. August 2021.

 

You may at any time, under the conditions provided for by law, access your personal data, oppose on legitimate grounds to their processing, have them rectified, request their deletion, the limitation of their processing, their portability, or communicate instructions on their fate in the event of their death by writing to : Caisse Régionale de Crédit Agricole Mutuel Nord de France, 10, Avenue Foch - BP 369 - 59020 LILLE CEDEX. Stamp fees will be refunded upon request.

Participants who refuse to provide their personal data or who delete them before the call for applications will have their participation invalidated.

 

 

 

During the course of the Call for Applications, the Participant may receive or become aware of files, documents or exchanges containing Confidential Information, including personally identifying information (hereinafter "Personal Data") processed or controlled by the Organiser or its subsidiaries. The Participant undertakes to comply with the legislation and regulations in force with regard to the protection of personal data.

 

Personal data belonging to the Organiser and/or controlled by the Organiser or a subsidiary of the Organiser remain the property of the Organiser. The Participant may only access, process and transfer such Personal Data in accordance with the instructions of the Village by CA. The Participant must implement the security and confidentiality measures required by applicable laws and regulations, and those agreed in advance with the Village by CA. The Personal Data of the Village by CA is considered as confidential information and therefore cannot be disclosed to third parties without the prior written consent of the Village by CA. The participant will provide all information and guarantees requested by the Village by CA on the transfer, processing and storage of his/her personal data.

 

ARTICLE 18 - EXPLOITATION RIGHTS OF THE WINNERS' IMAGES

The Organiser and the Partners may ask any Prize winner for permission to use his/her surname, first name, address, photograph and voice for advertising purposes, within the limits provided for by French law no. 78-17 of 6 January 1978 relating to information technology, files and freedoms, for which the winners will receive no remuneration, rights or benefits other than their Prize.

 

ARTICLE 19 - THE RULES

Participation in the call for applications and the awarding of a prize requires the unreserved acceptance of and full compliance with all the provisions of the rules. The Organiser reserves the right to disqualify immediately and without compensation any Participant who does not comply with this obligation.

The Organiser reserves the right to change the rules at any time, including the duration of the call for applications, and the application and validity of such changes does not require the participants to be informed. Participants are advised to consult the rules regularly. Participants expressly waive the right to challenge any changes to the Rules.

A copy of these rules may be requested free of charge, with reimbursement of the postage costs for making the request, as described in Article 14.

 

ARTICLE 20 - CANCELLATION OR SUSPENSION OF THE APPEAL FOR APPLICATIONS

The Organiser and the Service Provider reserve the right to cancel or suspend the Call for Applications in the following circumstances:

- the inadequacy of the ideas submitted by the participants with the need for the call for applications ;

- force majeure (impossibility to occur) ;

- all types of fraud ;

- the absence of a sufficient number of candidates at the sole discretion of the Organiser.

The Service Provider and the Organiser as well as the Partners cannot be held liable for the cancellation or suspension of the Call for Applications in accordance with this article and the participant shall not be entitled to any form of compensation.

 

ARTICLE 21 - INDEPENDENCE

Registration and participation in the Call for Applications in no way creates a relationship of subordination between the Service Provider or the Organiser and the Partners and Participants or members of the Participants' teams.

 

ARTICLE 22 - COMPLAINTS

Any complaint by the participant must be sent in writing no later than thirty (30) days after the end of the call for applications.

All complaints must include the following elements, otherwise they will be rejected:

- the full contact details of the participant (surname, first name, full address with postcode, login and e-mail address) ;

- identification of the call for applications concerned ;

- a clear and detailed description of the reasons for the complaint.

 

ARTICLE 23 - SETTLEMENT OF DISPUTES

In the event of a dispute not resolved after the Participant has lodged a claim in accordance with Article 22, the Organiser, the Partners and the Participant undertake to submit their dispute to out-of-court conciliation before any legal proceedings.

The party wishing to initiate conciliation proceedings must inform the other party by registered mail with acknowledgement of receipt, in which the referring party must explain its intentions and reasons to the other party.

If the parties do not reach an agreement within thirty (30) days of receipt of the registered letter, they are each free to act as they see fit. The first party to act may then refer the matter to the competent court at the Douai Court of Appeal.

The rules and the call for applications are governed by French law, with the exception of conflict of law rules.
